Upgrading a Garbage pc.. Worth it?

Guys. i have a really lame computer.
my computer plays skyrim on all low's , -textures (very high)
with avrg 20 fps and stuttering

EMACHINEST5212
processor:
Intel Pentium D 805 / 2.66 GHz

GPU:
Geforce 8400 GS pcie

ram.
1.5

And a BAD power Supply.

Will Upgrading to 2 gigs of ram(max memory pc can hold), getting a Geforce GT440
and getting a new powersupply allow me to play skyrim on Medium/high settings with graphics mods on lower resolutions(1024x768)?

Don't spend your money on this, cpu is very slow for modern games. Better find used hardware components, even athlon x2 3600+ will beat your current. DDR and DDR2 memory cost too much now, no sense to pay for it. Don't know where do you live, but in my country used motherboard+cpu+ram enough to play games cost about 70$ or even less.

Live in MIA Florida. Do you get your stuff online?
Is there anything specific you can Recommend
with about a 150 budget?

Well, I do think, there is a huge difference in prize of hardware between US and Russia.
I say, you get a better PC in Russia for the same amount of $ (Bucks/Dollars).
So, yeah, PainKillEmAll might have to spend 150 to get a PC, that Boris might get for around 70.
Sadfully, here in Germany, you wont get any good PC for that :(
Calculated, that my new PC would cost around 500€, that are round about 700$.
Okay, its unused then, but its only CPU, Mobo, ram and graphic card...no HDD or SDD or optical like BlueRay, no new soundcard or power supply.

But Boris is right, no good idea to spend any money on our outdated machine.
Try to get something like a NVidia GeForce 560 or AMD/ATI Radeon 6870 as graphic card, AMD Phenom II X4 955 or Intel Core i5 2500 as CPU and 4GB DDR3.
Shouldn't be too expensive.

First, check if your motherboard support pentium e5200, e5300 with overclocking, if it is, then you can buy such and oveclock. Don't remember if d805 allow to overclock similar to d820, but it's having overheating problems, good cooler and psu will cost you more than e5200. If you can't do anything with your motherboard, try to find cheapest memory, you need 3 gb to play without much stuttering, believe me i have 2 gb and when installed another 1, gta4 gameplay became much more comfortable and smooth. In fact, alternative to your cpu are only with higher frequency latest, with ability to overclock and 4 cores. Probably the best boost you will have now with better videocard, psu for it and ram, because it's garanteed changes in performance for any game in times. Hmm, long time ago i did upgrade to videocard only and was happy, so may be you just need it? Sorry, i wrote 4 times more than this message and cleared it to keep you mind clear. Better find first videocard, memory and psu (which do you have?)
